These Terms of Use (“Terms”) govern your access to and use of the Excedify website, online courses, learning materials, memberships, digital tools, and all related services provided by Agamian Association UG Haftungsbeschränkt (“Excedify”, “We”, “Us”, “Our”).

By accessing or using the Service, you agree to be bound by these Terms.
If you do not agree, do not use the Service.

1. Eligibility

You must be:

• At least 18 years old, or

• Legally able to enter a binding contract under applicable law.

Users under 18 may only use the Service with active supervision and permission of a parent, guardian, or authorized educator.

We may refuse service or close accounts at our discretion.

2. Account Registration

To access certain features, You must create an account. You agree to:

• Provide accurate and complete information

• Keep login credentials secure

• Be responsible for all activities under Your account

You may not:

• Share login credentials or allow others to use your account

• Create accounts using automated methods

• Impersonate another person or entity

We may suspend or terminate accounts for violations of these Terms.

3. Licensing of Course Content

When You enroll in a course or purchase access to learning materials, you do not acquire ownership.
You receive a limited, non-exclusive, non-transferable, revocable license to access the content for personal, individual learning purposes only.

Unless explicitly permitted, You may not:

• Copy, download, resell, or redistribute course materials

• Use materials for group training, classroom instruction, or corporate teaching

• Share Your account or access with others

• Use course content to create competing products or training programs

Excedify retains all intellectual property rights.

Access duration may vary. Excedify may modify or remove content at any time.

4. Corporate and Team Usage

If You register using a business email domain, You acknowledge that:

• Excedify may identify Your organization via Your email domain.

• Excedify may publicly state that “Users from [Company Name] train with Excedify.”

• Corporate or team usage requires a Business Membership, bulk seats, or explicit permission.

Individual licenses do not permit training other employees or sharing content internally.

5. Instructor Content and Licensing

Excedify may work with instructors, engineers, or contractors to deliver training.
Excedify holds the right to edit, optimize, subtitle, or repackage this content.

All instructor-contributed content is licensed to Excedify and may not be reused externally without permission.

6. Payments, Pricing, and Refunds

6.1 Pricing
Prices for courses, bundles, memberships, and services may change at any time.

6.2 Payment Processing
Payments are handled by third-party payment processors. Excedify does not store full payment details.

6.3 Refunds

• Digital course purchases are non-refundable once access is granted.

• Refunds may be provided only at Excedify’s discretion.

• Business memberships, bulk licenses, and discounted products are not refundable.

Unauthorized chargebacks may result in account suspension.

7. User Conduct

You agree not to:

• Misuse or redistribute course content

• Attempt to scrape, hack, or reverse engineer the platform

• Upload harmful or malicious files

• Harass instructors, staff, or other users

• Misrepresent Your skills or certificates

• Circumvent access limits, DRM, or license restrictions

Violations may lead to account termination, certificate revocation, or legal action.

8. Certificates and Credentials

Enrollment in a course does not automatically entitle You to receive a certificate.
Certificates are not guaranteed and may only be issued when:

1. You have met all course requirements, which may include:

   • Completing all lessons and modules

   • Achieving required quiz or exam scores

   • Passing assignments, projects, or evaluations

   • Demonstrating sufficient understanding of course material

   • Submitting work for manual review, where applicable

2. Excedify determines—at its sole discretion—that You have achieved the necessary competency for certification.

Excedify reserves the right to:

• Withhold a certificate if requirements are not met

• Modify certificate criteria at any time

• Revoke certificates in cases of fraud, plagiarism, impersonation, or Terms violations

• Decline issuance even if lessons are completed, if We assess that learning objectives were not sufficiently achieved

Certificates:

• Are educational in nature

• Do not constitute academic degrees or regulated professional certifications

• May be verified with employers or third parties upon request

You may use Excedify certificates publicly only while adhering to these Terms.

9. Intellectual Property Rights

All materials on the Service—including videos, animations, engineering illustrations, CAD tools, text, exercises, branding, and platform features—are protected by copyright, trademark, and other IP laws.

No rights are transferred to You except the limited access license in Section 3.

10. Platform Availability and Changes

We may modify, update, suspend, or discontinue any aspect of the Service at any time.
This includes courses, tools, features, pricing, and access models.

We are not liable for:

• Downtime

• Interrupted access

• Content changes or removals

• Loss of progress or expected value

11. Third-Party Services

The Service may integrate third-party tools (e.g., analytics, login providers, email services).
Excedify is not responsible for:

• Their content

• Their availability

• Their data practices

Use of third-party services is at Your own risk.

12. Disclaimer of Warranties

To the fullest extent permitted by law:

• The Service is provided “as is” and “as available.”

• Excedify makes no guarantees about accuracy, completeness, or availability.

• We do not warrant that completing courses will produce specific career or professional outcomes.

13. Limitation of Liability

To the maximum extent permitted by law:

• Excedify is not liable for indirect, incidental, special, punitive, or consequential damages.

• Total liability for any claim is limited to the amount You paid in the preceding 12 months.

• Business users waive claims related to economic loss, operational delays, or internal usage issues.

14. Indemnification

You agree to indemnify and hold Excedify harmless from claims, damages, losses, and expenses arising from:

• Violation of these Terms

• Misuse of content

• Certificate fraud

• Unauthorized redistribution

• Infringement of intellectual property rights

• Misrepresentation of Your skills or identity

15. Account Termination

We may suspend or terminate accounts immediately if:

• You violate these Terms

• Fraud or misuse is suspected

• We are required to do so by law enforcement or regulatory authorities

Upon termination:

• Access to courses and tools is revoked

• No refunds are issued

• Certificates may be invalidated

• Necessary data may be retained for legal compliance

16. Governing Law and Jurisdiction

These Terms are governed by German law, without regard to conflict-of-law rules.
Exclusive jurisdiction lies with the courts of Coburg, Germany, unless consumer-protection laws require otherwise.

17. Changes to the Terms

We may update or modify these Terms at any time.
Revised Terms take effect upon posting.
Continued use of the Service constitutes acceptance.
